Contract of sale
The terms and conditions stated here govern the supply of goods ordered from CMS Software Limited. This website is owned and operated by CMS Software Limited. Goods purchased from here will be sold to the consumer (the person/company who placed the order) and will be invoiced by CMS Software Limited, Unit 10 Saxon House, Warley Street, Upminster, Essex RM14 3PJ. All orders placed are subject to acceptance by us. The delivery of goods to the consumer is when a legally binding contract is constituted between CMS Software Ltd. The processing of your payment and acknowledgement of your order does not constitute legal acceptance of your order.
Price & Payment
The price payable for the goods you order is set out on our web site at the time you place your order, plus any charges for delivery. All prices shown are net of VAT. (excluding VAT)
Delivery & Title
Unless you order and collect the goods from our stated location, we will deliver them in accordance with your order. A valid signature will be required on collection or delivery. In the unlikely event that you have not received all the goods within the stated delivery time, you must notify us within 24 hours of delivery. You must not schedule or commence any installation work until after you have received your order and checked all the goods for any defects or missing parts. Defects or missing parts must be reported to us within 2 working days of you taking delivery of your order.
Our standard delivery charges cover the UK, but exclude the Scottish Highlands, Isle of Man, Isle of Wight, Channel Islands, Northern Ireland and the Republic of Ireland (EIRE). For these areas and all destinations overseas, please call and we will quote you the appropriate delivery charge.
Demonstration versions of software from CMS Software are available to download directly this website. Theses are available on a limited time period (evaluation license) and can include limited functionality. If these software packages are then purchased through the site a license key will be emailed to provide full activation of the product.
There may be occasions when it is necessary to return products to us. Generally the reasons for this will fall into one of the following categories.
When returning goods the product must be packed correctly and have a copy of the original despatch note enclosed with the items being sent back. Any goods returned without previous written authorisation will not be accepted. Where goods have been ordered incorrectly, a 20% re-stocking charge will be applied.
Your right of cancellation
The rights of cancellation set out below apply to any agreement between the consumer and CMS Software on the condition of the product ordered being un-opened and returned in a saleable condition.
You have a right to cancel the agreement at any time before the expiry of a period of 7 working days beginning with the day after the day on which you receive the goods.
You may cancel by giving us notice in any of the following ways:
by facsimile to our main fax number (stated above);
by email to our sales email address (stated above);
CMS Software Ltd pass to the consumer the benefits of any warranty or guarantee passed to us from the original manufacturer of the product. You must ensure the product is serviced, maintained and used properly and in accordance with the manufacturers recommendations and is not fitted or used with any parts, accessories or ancillary equipment other than those recommended by the manufacturer. No attempt must be made by you or any third party to remedy any defect or to dismantle or tamper in any way with the product. Any product deemed to be defective under the terms of the manufacturers warranty/guarantee must be returned our premises at your expense. Please note any goods being returned must be accompanied the correct paperwork as detailed in earlier in this policy statement.
We shall have no liability to you for any failure or delay in supply or delivery or for any damage or defect to goods supplied or delivered hereunder that is caused by any event or circumstances beyond our reasonable control (including, without limitation, strikes, lockouts and other industrial disputes).
